This Non-Disclosure Agreement (the “Agreement”) is entered into by and between Zang Inc., a parent organization of Zang Games (hereinafter referred to as “Zang Games”), and any individual or entity engaging in any form of collaboration or participation (hereinafter referred to as “Member”) in projects, tasks, or activities undertaken by Zang Games.

1. Purpose

Zang Games and its Members (collectively referred to as “Parties”) recognize the importance of protecting confidential information and proprietary methods related to game development. This Agreement serves to ensure that such information remains confidential and is not disclosed to third parties without proper authorization.

2. Confidential Information

“Confidential Information” refers to all proprietary and non-public information, technology, methods, processes, or data disclosed by Zang Games to the Member, whether in written, oral, digital, or any other form. This includes but is not limited to, information about game development techniques, strategies, intellectual property, designs, source code, algorithms, and any other information considered confidential by Zang Games.

3. Non-Disclosure Obligation

By working with Zang Games, the Member agrees not to disclose or share any Confidential Information received from Zang Games with any third party or use it for any purpose other than those explicitly authorized by Zang Games.

4. Exceptions

This NDA does not apply to information that:

– Is publicly known at the time of disclosure or becomes public knowledge through no fault of the Member.
– Was already in the possession of the Member prior to the disclosure by Zang Games.
– Is disclosed to the Member by a third party not bound by confidentiality obligations to Zang Games.

5. Consequences of Non-Compliance

Failure to comply with this NDA may lead to serious consequences, including but not limited to legal action, injunctions, and financial penalties. Zang Games reserves the right to pursue any remedies available under the law to protect its Confidential Information.

6. Term and Termination

This Agreement shall remain in effect for the duration of the Member’s involvement with Zang Games and for a period of five (5) years after the termination of such involvement, regardless of the reason for termination.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Zang Inc. operates, without regard to its conflict of laws principles.

8. Entire Agreement

This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.

9. No Signature Required

By working with Zang Games, the Member acknowledges and agrees to the terms of this Agreement. No physical or electronic signature is required to make this Agreement legally binding.
